1. Acceptance of these terms
By signing an order form, creating an account, or otherwise accessing the Habyta platform, you agree to these terms on behalf of the operator you represent. If you do not agree, do not use the service.
2. The service
Habyta provides room-level occupancy, condition and compliance detection built from inspection photography supplied by the operator, together with allocation, maintenance and reporting tools. We may update or improve the service over the course of a term without reducing its core functionality.
3. Accounts and responsibilities
- Operators are responsible for the accuracy of the room registers and imagery they provide.
- Operators are responsible for keeping account credentials confidential and for activity under their accounts.
- Operators must have the right to capture and submit inspection imagery, and to obtain any tenant notices required by law.
4. Fees and billing
Fees are set out in the applicable order form and billed per bed under management, in arrears or in advance as agreed. Rates for the Pilot, Operate and Portfolio plans are confirmed with each operator before a term begins and are not published as fixed list prices. Fees exclude VAT and other applicable taxes.
5. Term and cancellation
Plans run for the term stated on the order form and renew unless cancelled with the notice period set out there (60 days for standard plans, unless otherwise agreed). Either party may terminate for uncured material breach with 30 days' written notice.
6. Data and intellectual property
Operators retain ownership of the imagery and records they submit. Habyta retains ownership of the platform, its detection models, and any aggregated or de-identified data used to improve them. On termination, operators may export their data in full for 30 days.
7. Limitation of liability
Habyta's detections support, but do not replace, an operator's own housing management judgement and statutory inspection obligations. To the extent permitted by law, our aggregate liability under these terms is limited to the fees paid by the operator in the twelve months before the claim arose.
8. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and any dispute not resolved informally is subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
